Terms of Service

1. Acceptance of Terms
By accessing or using the Ember platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform.
These Terms constitute a legally binding agreement between you and Menu Ember Technologies Ltd., a company registered in Ghana (“Ember”, “we”, “us”, or “our”).
We may update these Terms from time to time. When we make material changes, we will notify you via email or an in-app notice at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance.
2. Description of the Platform
Ember is a technology platform that provides:
- Digital menu display and management tools for restaurants
- Contactless dine-in ordering
- Remote pre-ordering with collection
- Table reservation management
- Verified diner review publishing
- Kitchen queue management and analytics for restaurant operators
Ember is a technology intermediary only. We provide the software platform that connects diners with restaurants. We are not a restaurant, food vendor, food delivery company, or payment processor. All food orders placed through the Platform are contracts directly between the diner and the restaurant.
3. Diner Terms
3.1 Orders — General
When you place an order through Ember, you are entering into a direct transaction with the restaurant. Ember facilitates this transaction but is not a party to the contract of sale. All prices are set by the restaurant operator.
3.2 Dine-In Orders
Dine-in orders are transmitted to the restaurant's kitchen immediately upon placement. Once a dine-in order is submitted and confirmed, it is final and non-refundable. Cancellations or modifications after submission are at the sole discretion of the restaurant.
3.3 Remote Pre-Orders
Remote pre-orders require full online prepayment via Paystack (mobile money or card). By placing a pre-order, you agree:
- Click & Collect: You are responsible for collecting your order at the restaurant at the scheduled pickup time.
- Courier Collection: You are solely responsible for arranging and paying your own third-party courier. Ember does not provide delivery services, does not dispatch couriers, and accepts no liability for the actions, delays, or failures of any third-party courier.
- Pickup Times: Pickup times are estimates calculated based on the restaurant's current queue and preparation lead times. They are not guaranteed.
3.4 Rush Upgrade
The Rush Upgrade is an optional paid feature that moves your order to the top of the kitchen queue. By purchasing a Rush Upgrade, you understand:
- It provides priority queue sorting only
- It does not guarantee a specific preparation or delivery time
- Rush fees are non-refundable once the order is placed
- The rush fee is set by the restaurant operator
3.5 Reservations
- Reservations are subject to availability
- If the restaurant requires a booking deposit, the amount will be clearly displayed before you confirm
- Reservation deposits are non-refundable where configured by the restaurant, except where prohibited by applicable law
- You may cancel using the self-cancellation link in your confirmation email, subject to the restaurant's cancellation policy
- Failure to arrive (“no-show”) may result in forfeiture of any deposit
3.6 Reviews
- Eligibility: You may only submit a review if you have a completed, paid order. One review per order.
- Review Window: Reviews must be submitted within 72 hours of order completion. After this, the link expires.
- Truthfulness: Reviews must be honest, accurate, and based on your genuine experience. False, misleading, or defamatory reviews violate these Terms.
- Content Policy: Reviews must not contain hate speech, threats, harassment, obscene content, personally identifiable information of others, or spam.
- AI Moderation: All submitted reviews are automatically screened by an AI content moderation system before publication.
- Removal: Ember reserves the right to remove any review that violates these Terms or applicable law.
3.7 Payments
All payments are processed securely by Paystack Payments Limited. Ember does not store, process, or have access to your credit card numbers, CVVs, bank PINs, or mobile money credentials.
4. Operator Terms
4.1 Menu Accuracy & Legal Compliance
As an operator, you are solely responsible for:
- The accuracy of all menu content, including dish names, descriptions, prices, ingredient lists, allergen warnings, and nutritional information
- Compliance with all applicable food safety, hygiene, and labelling laws
- Obtaining and maintaining all required business licences and health permits
- Ensuring that all food served meets applicable safety standards
Ember is not liable for any allergic reactions, foodborne illness, or other harm resulting from inaccurate menu information or food safety failures.
4.2 Business Conduct
Operators must not:
- Misrepresent their business, location, or the food they serve
- Process fraudulent transactions or artificially inflate order volumes
- List items that are consistently unavailable or not intended to be prepared
- Use the Platform for any unlawful purpose
Ember reserves the right to suspend or terminate any operator account that violates these Terms.
4.3 Payments & Paystack KYC
- You are responsible for completing Paystack's KYC and KYB verification requirements
- Ember stores only your Paystack subaccount code and settlement bank details for payment routing
- You are responsible for all applicable tax obligations on revenue received through the Platform
4.4 Content Licence
By uploading content to the Platform (restaurant names, descriptions, logos, dish photos, menu content), you grant Ember a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute such content solely for the purpose of operating the Platform. You retain ownership of all content you upload.
4.5 POS Integrations
- You authorise Ember to access your POS account via OAuth to synchronise menu and order data
- You may disconnect any POS integration at any time. Disconnection immediately and permanently purges all stored OAuth credentials.
- Ember is not responsible for the availability, accuracy, or functionality of third-party POS systems
4.6 AI Tools
- AI-generated suggestions are for assistance only and may contain errors
- You are solely responsible for reviewing, editing, and approving all AI-generated content before publication
- Diner reviews are automatically screened by AI moderation on your behalf
4.7 Data Processing
When Ember processes diner personal data on your behalf, Ember acts as a data processor and you act as the data controller. The terms of this arrangement are set out in our Data Processing Agreement.
5. Platform-Wide Terms
5.1 Platform Role & Limitation
Ember is not a food delivery company. We do not prepare, cook, package, transport, or deliver food. Ember is not liable for:
- The quality, safety, taste, or preparation of any food ordered
- Allergic reactions or foodborne illness resulting from restaurant food
- Inaccurate allergen or nutritional information
- The actions, delays, or failures of any third-party courier arranged by a diner
- Any loss or damage from a restaurant's failure to fulfil an order
5.2 Service Availability
Service is provided on a best-effort basis. We do not guarantee uninterrupted, error-free, or continuously available service.
5.3 Limitation of Liability
To the maximum extent permitted by applicable law:
- Ember's total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the claim, or GHS 500, whichever is greater
- Ember shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraud
5.4 Intellectual Property
All intellectual property in the Platform — including its design, code, branding, logos, and trademarks — is owned by Menu Ember Technologies Ltd. Operators retain ownership of their uploaded content subject to the licence in Section 4.4.
5.5 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana.
5.6 Dispute Resolution
- Negotiation: Good-faith negotiation for 30 days from written notice
- Mediation: If negotiation fails, mediation via the Ghana Arbitration Centre
- Arbitration: If mediation fails, binding arbitration in Accra, Ghana, in English
5.7 Severability
If any provision of these Terms is found invalid, the remaining provisions continue in full force and effect.
5.8 Entire Agreement
These Terms, together with our Privacy Policy and (for operators) the Data Processing Agreement, constitute the entire agreement between you and Ember.
